Our total liability to you for all damages, losses, and causes of action shall not exceed the amount paid by you to Paxion in the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Paxion and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms of Service or your use of our services.

Termination

Paxion shall not be liable for any failure or delay in performance under these Terms of Service which is due to fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, riots, civil disorders, rebellions or revolutions, or any other cause beyond our reasonable control.

Governing Law and Jurisdiction

These Terms of Service shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Any disputes arising out of or relating to these Terms of Service or our services shall be subject to the exclusive jurisdiction of the courts of the Netherlands. You consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

Severability

If any provision of these Terms of Service is held to be invalid or unenforceable by a court, the remaining provisions will remain in full force and effect. The invalid or unenforceable provision will be replaced with a valid and enforceable provision that most closely matches the intent of the original provision.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by us on our website, constitute the entire agreement between you and Paxion concerning your use of our services and supersede all prior or contemporaneous communications and proposals.
